Terms of Service

1. Acceptance

By accessing or using services operated by Cityscape Enterprises LLC (“we,” “us,” or “our”), you agree to these Terms. If you do not agree, do not use the Services.

2. Description of Services

We provide software and professional services including:

• Cityscape Digital / MyAgency — audits, marketing services, microsites, CRM, and agency tooling
• Agent Party / Venture Village — gamified business simulation and related game features
• Creator Knowledge Bots — AI assistants grounded in authorized creator materials (retrieval may use Pinecone or similar vector indexes), sold via Stripe Connect destination charges and/or Telegram Stars
• 2AM — nightlife/social consumer product (also governed by 2AM-specific legal pages). Event listings may deep-link to licensed Ticketmaster or Eventbrite ticket pages; 2AM is not the official promoter app and does not sell those tickets. Optional peer-to-peer shop listings are user-to-user; we are not the merchant for those sales unless a checkout says otherwise
• Clipper / ClipHaus tooling — campaign-aware short-form clip production and compliance checks for licensed sources
• POD / social / commerce tools — product and content pipelines for operators and clients
• Studio / Helix music tools — creative workflows for authorized operators, including VisionBlocks video editing
• Timewire — household and team task workspaces on web and native apps
• Adulting Lab — education interest list and related learning content
• Operator analysis tools — land-intel, surplus, Gator analysis, and paper-first trading research (no automatic fund movement)

3. Accounts

You must provide accurate information and keep credentials secure. Minimum age is 13 for general Services; 2AM and other adult social features require 18+. You are responsible for activity under your account.

4. Payments, Connect, and Stars

Merchant of record

For web Stripe checkouts where we are merchant of record, Cityscape Enterprises LLC charges you and provides the purchased digital service. For Stripe Connect destination charges, a creator or connected account may receive a portion of funds; we may collect an application fee. Telegram Stars purchases are processed by Telegram under Telegram rules; Stars settlement to creators is separate from Stripe web billing and may be ledgered and settled manually per our operator processes.

One-time purchases

Audits and other one-time services are charged at purchase. Refunds for undeliverable technical failures are automatic where implemented; other refunds are discretionary within stated windows (e.g. 7 days for audits).

Subscriptions

Recurring plans bill until canceled. Access continues through the paid period unless terminated for abuse. Partial-period refunds are not required after the initial trial/refund window.

Website buyouts

“Buy Outright” plans include only deliverables listed in the order. Domain and third-party fees are excluded unless written. Handoff completes after payment, delivery proof, and acceptance.

5. Creator Knowledge Bots

• Bots are AI assistants, not the human creator. They must disclose this to members.
• Creators (or rights holders) must grant written authorization for the materials used to ground the bot (rights artifact required before public activate).
• Creators warrant they have rights to the content and that answers will not be marketed as live personal advice from the human creator.
• Members receive a limited license to use answers for personal/educational purposes; they may not resell the bot, scrape the corpus, or reverse engineer the system.
• Chargebacks and refunds for web Stripe may reverse member access; Stars disputes follow Telegram rules. Platform fees are generally non-refundable except where required by law.
• We may suspend bots for rights disputes, safety abuse, or unpaid fees. Takedown requests: legal@myagency.dev.

6. AI-generated content

AI outputs are provided as-is and may be incorrect. You are responsible for reviewing outputs before business, legal, medical, or financial reliance. Do not use Services to generate unlawful content or to impersonate a real person without authorization.

7. Clipper and licensed media

Clipper workflows may only use campaign-licensed sources. You must include required captions, disclosures, hashtags, and brand rules. Missing compliance can forfeit payouts even when views are high.

8. Affiliate and endorsements

Where content includes affiliate links or material connections, clear disclosure is required (e.g. #ad or explicit commission language). We may block publish of creatives that fail disclosure checks.

9. Acceptable use

• No unlawful use, fraud, harassment, or IP infringement
• No unauthorized access, scraping, or abuse of rate limits
• No spam or TCPA/CAN-SPAM violations; outreach tools are consent-gated
• No resale of Services without written permission

10. Timewire

Workspace data belongs to the household or team that created it. Deleting your account removes your membership and any workspace nobody else can still open; shared boards stay for remaining members. Optional Plaid or SimpleFIN bank connections are for household money views only and are not investment advice. You must not use Timewire to store others' sensitive data without their permission.

11. Agent Party

In-game currency and items have no real-world cash value. We may modify or reset game features.

12. Operator analysis tools

Land, surplus, Gator, and trading tools are decision-support only. They do not move funds, place live trades, or provide legal/financial advice unless a separate written engagement says otherwise. Live trading adapters remain dual-gated and paper-default.

13. Intellectual property

Except deliverables expressly transferred under a completed order, our software, design, and IP remain ours. You retain ownership of your content and data; you grant us a license to host and process it to provide the Services.

14. Disclaimers and liability

Services are provided “as is.” To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect or consequential damages. Our aggregate liability for claims is limited to amounts you paid us in the 12 months before the claim.

15. Indemnification

You will indemnify Cityscape Enterprises LLC against claims arising from your content, your misuse of the Services, or your violation of these Terms (including creator rights warranties).

16. Termination

We may suspend or terminate access for violations or risk. You may stop using the Services and request account deletion per our Privacy Policy.

17. Dispute resolution

Contact legal@myagency.dev for informal resolution (30 days). If unresolved, binding AAA arbitration in Clark County, Nevada (or remote by agreement), individual claims only (class waiver). Small claims court remains available. Governing law: Nevada.

18. DMCA

Copyright notices: legal@myagency.dev with statutory DMCA elements (work, location, contact, good-faith statements, signature).

19. Changes

We may update these Terms by posting a new version with a revised date. Continued use after material changes constitutes acceptance where permitted by law.
