Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Cityscape Enterprises LLC (“we,” “us,” or “our”), including Cityscape Digital and Venture Village (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.

2. Description of Services

We provide:

• Cityscape Digital — an AI-powered digital marketing agency offering business audits, social media management, ad management, lead generation, and related marketing services
• Venture Village — a gamified business simulation platform where users can build, compete, and learn business skills

3. Account Registration

To access certain features, you must create an account using Google OAuth. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must be at least 13 years old to use our Services.

4. Payments and Refunds

One-time purchases

Business audits and other one-time services are charged at the time of purchase. All payments are processed securely through Stripe. If you are unsatisfied with a delivered audit, you may request a refund within 7 days of delivery. Refunds are issued at our discretion based on the nature of the concern. If we are unable to generate your audit due to a technical issue on our end, you will receive a full refund automatically.

Subscription services

Marketing plans and ongoing services are billed on a recurring monthly basis. You may cancel your subscription at any time. Upon cancellation, you will retain access through the end of your current billing period. If you cancel within the first 7 days of your initial subscription, you may request a full refund. After the first 7 days, no partial-month refunds are provided.

Disputes

If you believe a charge was made in error, please contact us at billing@myagency.dev within 30 days of the charge. We will respond within 3 business days and work to resolve the issue before you need to contact your bank.

5. AI-Generated Content

Our Services use artificial intelligence to generate audit reports, marketing analysis, content suggestions, and other outputs. AI-generated content is provided “as is” and should be reviewed before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose. You are responsible for verifying any AI-generated recommendations before acting on them.

6. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Submit false or misleading information when requesting audits or services
• Use automated tools to scrape, copy, or extract data from our Services
• Reverse engineer, decompile, or disassemble any part of our Services
• Interfere with or disrupt the integrity of our Services
• Resell or redistribute our Services without written permission

7. Intellectual Property

All content, design, code, and intellectual property associated with our Services remain the property of Cityscape Enterprises LLC. You retain ownership of any business data you provide to us. Audit reports generated for you are licensed for your personal or business use and may not be resold.

8. Venture Village Game Terms

Venture Village is a simulation game for entertainment and educational purposes. In-game currency, items, and achievements have no real-world monetary value and cannot be exchanged for cash. We reserve the right to modify game mechanics, reset progress, or discontinue game features at any time.

9. Limitation of Liability

To the maximum extent permitted by law, Cityscape Enterprises LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify and hold harmless Cityscape Enterprises LLC from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately.

13. Dispute Resolution and Arbitration

Informal resolution first

Before filing any formal dispute, you agree to contact us at legal@myagency.dev and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication.

Binding arbitration

If we cannot resolve a dispute informally, you and Cityscape Enterprises LLC agree to resolve any claims through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Clark County, Nevada, or remotely by mutual agreement. The arbitrator's decision is final and enforceable in any court.

Class action waiver

You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entire arbitration provision shall be void.

Small claims exception

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

14. DMCA and Copyright

If you believe content on our Services infringes your copyright, please send a DMCA takedown notice to legal@myagency.dev with: (a) identification of the copyrighted work, (b) identification of the infringing material and its location, (c) your contact information, (d) a statement of good faith belief that the use is not authorized, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of government, internet or telecommunications failures, power outages, cyberattacks, or third-party service provider outages (e.g., Supabase, Stripe, Vercel, AI providers).

16. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Services after changes constitutes acceptance of the new Terms.
